Successor Liability: Should my Client Purchase the Selling Entity or its Assets?
Fern O'Brien of O'Brien Law PC and Judith Vorndran of EideBailly will share their wealth of knowledge and experience with analyzing the benefits and downsides of purchasing a seller's business assets versus the seller itself. The discussion will cover the potential tort, contract and statutory liabilities that can be transferred to a successor in each of the two models, and then turn to the successor's state tax liabilities connected with the newly acquired entity or assets. This will be a free-form discussion, with questions and ideas from the audience encouraged throughout.
