Program Description

"Tips for Drafting Texas Limited Liability Company Agreements" covers important but sometimes overlooked issues that arise when drafting company agreements for Texas limited liability companies. While not comprehensive, this one-hour presentation discusses such topics as the interplay between the agreement and the "default" provisions under the Texas Business Organizations Code, issues that can arise among the contribution, allocation, distribution and liquidation provisions, the scope of fiduciary duties for managing members, among other matters.

  • Refresher on some best practices in drafting company agreements for Texas limited liability companies.
  • Review of range of issues to address with clients when preparing these agreements.
  • Examination of example language from prior agreements to help demonstrate the topics discussed.

About the Presenter

Robert (Bob) Rapfogel is a transactional attorney focusing on mergers and acquisitions, securities offerings, and general corporate and securities law matters. He has been counsel to both privately-held and publicly-traded companies, handling a wide variety of corporate and securities matters.

 

Previously, Bob practiced in the Corporate & Securities section of Mayer Brown LLP, a global law firm with offices in the Americas, Asia and Europe. While there, he worked on a wide variety of merger and acquisition transactions, securities law matters, equity and debt offerings, private placement financing transactions, secured debt transactions, and general corporate and securities work. He also acted as counsel to the Texas Office of the Governor on the Emerging Technology Fund. Prior to Mayer Brown, he practiced in the corporate securities section of Cantey Hanger LLP, a law firm based in his hometown of Fort Worth.

 

Immediately prior to starting his own firm, Bob worked in-house as associate general counsel at a NYSE-listed publicly-traded corporation, handling their securities, M&A and corporate governance matters. He now has a boutique practice, Rapfogel Law Firm PLLC, which is started in 2011.
