Course Overview
 

Courts are increasingly treating LLCs and corporations as equivalent entities, including applying the "piercing the corporate veil" theory to both business structures. When the LLC veil is pierced, litigants engaged in disputes with or owed debts by LLCs can look beyond the entity and pursue LLC members for potential liability and recovery.

State laws in this area are still developing, and there are no bright line rules. However, counsel to LLCs and LLC members can minimize the likelihood of veil-piercing claims by strictly adhering to LLC formalities, separating LLC assets from personal assets, executing a tight LLC operating agreement, and avoiding any personal guarantees of the LLC's debt.

 

The circumstances under which the LLC veil may be pierced and how state courts are ruling in LLC veil-piercing cases will be explained. Considerations and best practices for LLC members to avoid and defend veil-piercing claims will be discussed.

About the Presenter

Domenick R. Lioce has been practicing law for 35 years, during which he has devoted most of his professional time in the corporate and taxation areas. As a consequence, he has extensive experience in the following areas: Tax Research and Planning; General Business Law, including a wide variety of planning, structuring and completing business arrangements and transactions. This work includes mergers and acquisitions, negotiating, preparing and acquisition of all types of business contracts including shareholder agreements, operating agreements, partnership agreements, supply agreements, distributorship agreements, license agreements, employment and consulting agreements and financing agreements; Negotiating, preparing and revising real estate, business, trust and estate documents of all types; Distressed Loans; Specialties Areas: Entity Planning, Employee Stock Ownership Plans ("ESOPs"), Captive Insurance Companies, Taxation of Real Estate, and Business Succession Planning. CONTINUING EDUCATION INFORMATION

AAA-CPA continuing education programs are designed to meet the needs of Attorneys and CPAs and to qualify for credit both as CPE and CLE. Of course, the decisions of various state authorities determine the actual credit granted. There are no prerequisites or advance preparation requirements for this course.

Accounting CPE/Legal CLE/MCLE

The American Association of Attorney-CPAs is registered with the National Association of State Boards of Accountancy (NASBA) as a sponsor of continuing professional education on the National Registry of CPE Sponsors. State boards of accountancy have final authority on the acceptance of individual courses for CPE credit. Complaints regarding registered sponsors may be submitted to the National Registry of CPE Sponsors through its website www.learningmarket.org. These programs meet the NASBA standards of 1 (50 minute) hour of instruction. 

*CLE varies by state. Though we are accredited for CLE in both TX and PA they will not accept Study Groups for credit. We are currently working on arranging for provider status for these programs through those states. If you require CLE in a specific state, please send a request to studygroups@attorney-cpa.com and we will do our best to arrange for CLE credit. Please note that most state bars will accept our Certificates of Attendance sent in by the attorney and NOT charge a fee.
