Technology Webinar-Hot Issues in Technology Contracts

A panel of in-house municipal attorneys from NYC to LA who specialize in technology purchases will share tips for negotiating technology contracts on behalf of a municipality. Speaker Bio: 
 

Eugene Hsue is an Assistant City Solicitor with the City of Philadelphia and a 2007 graduate of Temple Beasley School of Law. He has been negotiating and drafting technology contracts with the City of Philadelphia since 2019. His practice includes data license agreements and subscription to cloud-based services. In his free time, Eugene enjoys hikes with his family, learning new languages, and playing the piano.

 

Phil Lam is the Deputy City Attorney for the City of Los Angeles.  Lam serves as the first Intellectual Property Counsel for the City of Los Angeles. In founding the first governmental intellectual property (“IP”) law practice in North America, he developed the City’s IP Asset Management program and IP licensing practice. He provides full counseling, transaction and litigation services related to patent, copyright, trademark, entertainment, computer, privacy, and Internet laws; as well as major-asset acquisitions and incubator parks. In addition, Phil specializes in civil recovery from antitrust class action and unfair competition litigation. Phil has litigated against and negotiated deals with top-flight firms as well as Fortune 100 corporations with admirable results for his clients. His professional work has been featured by the press and recognized with various awards. Phil is a published author on intellectual property law and negotiation skills. He has been active in pro bono services in various communities since before law school studies. He has also been elected to serve in leadership positions with various bar and civic associations. Academically, he is a staunch advocate of IP law, having co-founded IP programs at area law schools in Southern California, including the USC IP Law Institute. He is a frequent speaker to national and international conferences as well as government-sponsored seminars, including the training of foreign judges and ministry of justice attorneys for the USPTO and the U.S. State Department. Phil graduated with honors from Loyola Law School, Los Angeles-Evening Program (JD 1994) and with distinctions from the University of Illinois (Master of Science 1984 & Bachelor of Science 1983 in Engineering). Before becoming an attorney, he was an engineering manager at top-tier corporations in the energy and aviation industries.

 

Lara M. Mainella is an Assistant City Attorney for the City of Madison, Wisconsin and a 1995 graduate of the University of Wisconsin Law School.  Lara has been with City since 1997 and began negotiating service contracts around the turn of the century, eventually focusing on software and technology procurements.  Lara assists the City’s Purchasing and IT Departments in negotiating the legal terms for everything from click-through EULAs and “free trials” of software, to complex system implementations and transitions from on-premise to hosted solutions.  Lara’s hobbies include trying to convince social media platforms to agree to the City of Madison’s mandatory terms and conditions.

 

Patrick Bryant is Associate General Counsel at the New York City Department of Information Technology & Telecommunications (DoITT) where he focuses on IT procurement contracts. Patrick regularly negotiates terms and conditions, including End User License Agreements, for issues like public safety and cyber security, and he negotiated New York City’s two largest reseller agreements which are on pace to be used for to purchase roughly $2 Billion in products and services over five years. In his time at DoITT he also drafted the first Resiliency attachment to a franchise agreement in New York City’s history. He also assisted in negotiating the first-of-its-kind LinkNYC franchise agreement, which provides free gigabit-speed free public Wi-Fi, nationwide phone calls, device charging, and a tablet for access to City services, maps and directions. Prior to his time at DoITT, Patrick spent roughly three and a half years as Deputy Chief of Staff for Legal Affairs at New York City Hall under then Mayor Michael Bloomberg.

Patrick is a Graduate of New York University School of Law, and has an MBA, a master’s degree in accounting, and a bachelor’s degree in finance.

 

Paula Donato is a Senior Assistant Corporation Counsel in the City of Chicago Department of Law. She has worked on a range of transactional matters for the City of Chicago during her 20 year tenure with the City of Chicago as part of the Aviation, Environmental, Regulatory and Contracts Division, with the procurement of IT goods and services, including software licenses, comprising an ever expanding portion of those transactions. Prior to joining the City of Chicago Department of Law, Paula practiced in the private sector in corporate transactional areas after graduating from the University of Illinois Law School in 1992, and attended Carleton College as an undergraduate.
