Peter's practice focuses on transactional matters
including mergers and acquisitions, venture capital transactions,
private equity transactions, private equity fund formation, bank finance
and securities offerings. He has advised a number of different clients,
both domestic and foreign, including investment banks, issuers, private
equity funds and venture capital funds, commercial banks and other
investors. Peter is also a member of the Economic Recovery and
Government Opportunities Practice, where he is responsible for analyzing
for clients the various new government programs that provide transactional opportunities to purchase
distressed assets with government financing and that intend to establish
enhanced oversight and regulation of financial institutions, public
companies and private investment funds.
Representative Experience
His mergers and acquisitions and private equity
experience includes representing both buyers and sellers in acquisitions,
leveraged buyouts and minority investments, including the representation
of the following:
- Large pharmaceutical company in
the acquisition via tender offer of a public pharmaceutical company;
- Large investment bank in the
sale of 11 portfolio companies managed by its merchant banking
group;
- Controlling shareholder of
private company in the leveraged recapitalization of one of its
portfolio companies, which resulted in the sale of a majority of the
shareholders equity and debt interests in the portfolio company;
- Manufacturing company in the
purchase of a manufacturing plant and the associated business line
from a public manufacturing company; and
- Large investment bank in the
sale of its commercial banking operations in Latin America.
